Consitution and By-Laws Preamble This Section is organized to promote the aims and objectives of the International Association for Dental Research (IADR) on a local level, in strict accord with the directives and regulations of that organization. The prime purpose of this Section is to encourage research by offering abundant opportunities for presentation of the reports of research activities in the oral field to interested scientists, students and clinicians in the community, as stated in the Constitution of the American Association for Dental Research (Article II). To evaluate research, the local Section must also encourage free discussion of presentations on its program. Article I. Name. This organization is named: The Chicago Section of the American Association for Dental Research. Article II. Membership. Section 1. Active Members. Persons wishing to become members of the Chicago Section of the American Association for Dental Research must be elected by a majority vote of the active members present at any regular meeting of the Section. Section 2. Life Members. Any member of the Chicago Section of the American Association for Dental Research who has been an active member of either the Chicago Section, or the parent organization, for 25 years and has retired from active clinical/research activities is automatically eligible to be elevated to life member in the Chicago Section. Elevation to life member requires a majority vote of the active members present at any regular meeting of the Section. Section 4. Honorary Members. For outstanding research contributions in dentistry or in fields related to dentistry, an individual may be elected to honorary membership in the Chicago Section. Nominations shall be made in writing by two active members at any regular meeting and election shall be at the following meeting by a unanimous vote of the active members present. Any two active members may call for a written ballot, otherwise the election shall be informal. Section 5. Termination of Membership. (A) Membership may be terminated by a member upon delivery of a written notice to the Secretary of that member's resignation. (B) After written notice to the affected member, any membership may be terminated at a business meeting by a two-thirds vote of the active members present and voting, followed by delivery to the member of a written notice from the Secretary that the individual's membership has been termintated. The person whose membership is threatened with termination is entitled to appear before the Chicago Section or to submit a written statement at the next business meeting of the Chicago Section to defend his rights to membership. Article III. Meetings. Section 1. Regular Meetings. The Chicago Section shall meet at least once a year. The number of meetings per year shall be determined by the Program Committee on the basis of the amount of material available for presentation. Section 2. Special Meetings. Special meetings may be called by the President after consultation with other officers and with their approval. Not less than seven days notice of such a meeting shall be given in advance of the date. Article IV. Finances. Section 1. Section Dues. Members shall be assessed for local dues, and all monies so collected shall be the property of the Chicago Section exclusively. The amount of the local dues shall be determined by a two-thirds vote of all members present at a business meeting and voting. Section 2. Honorary Members. These members shall pay no dues to the local section, but such honorary membership may not relieve an active member from the payment of general dues. Section3. Treasury Report. A report and audit of the financial affairs of the Section shall be made annually, preferably at the same meeting as is designated for the election of officers. Section 4. Financial Representation. The Treasurer is designated to represent the local organization in all financial matters. He/she is authorized to collect and disburse monies as ordered by the Chicago Section. Article V. Officers. Section 1. General Officers. The officers of the Chicago Section shall be a President, a Secretary, a Treasurer and a Councilor. Section 2. Election. Officers for the ensuing year shall be elected annually by a majority vote of active members present at the last regular meeting of the conventional academic year, but they shall hold office until their successors have been elected and inducted into office. Vacancies shall be filled by special election at a regular meeting. Article VI. By-laws. By-laws may be proposed at any meeting of the local Section and may be adopted at the same meeting by a two-thirds vote of active members present and voting. Article VII. Quorum. Ten percent of the active membership shall constitute a quorum. Article VIII. Amendments. Section 1. Constitution. A proposed amendment of this Constitution must be presented in writing at a regular meeting. After due notification by the Secretary to all active members, the amendment shall be voted upon by ballot. The proposed amendment shall become part of the Constitution when at least a majority of the entire active membership of the Chicago Section votes for its adoption. Section 2. By-laws. Amendments of the By-laws may be proposed at any meeting of the local Section and may be adopted at the same meeting by a two-thirds vote of the active members present and voting. BY-LAWS. Section A. Membership. 1. All members of the Section shall have the privilege of attending meetings of the Section, and of presenting papers and participating in discussion of papers. 2. Members in arrears on dues for more than one year shall cease to be a member of the Chicago Section until his arrears shall have been paid, when she/he may be reinstated. The Treasurer shall keep such individuals informed of their membership status. Section B. Dues. 1. Chicago Section dues for the active members shall be ten dollars per year, payable to the Treasurer of the Chicago Section of the American Association for Dental Research at a time prior to the first meeting of the Chicago Section for the given year. 2. Members who are on active duty with the Armed Forces of the United States and who are unable to participate in the activities of the Chicago Section shall remain members in good standing with a remission of local dues. 3. Life members of the Section shall not be required topay dues to the Section. Section C. Meetings. 1. The place of meeting shall be determined by the Program Committee unless otherwise instructed by the active membership. Section D. Officers. 1. The duties of the officers shall be those conventionally associated with the official titles. The officers shall also assume any additional duties required by the Constitution and By-laws. Section E. Committees. 1. The Program Committee is composed of the Secretary and such members, as she/he shall appoint to assure adequate institutional representation. The Secretary shall serve as Chairman. 2. Special Committees may be appointed and charged by the President for specific functions whenever the need arises.
